WOQAL, INC. provides an intelligent voice agent that answers customer calls on behalf of restaurants, takes orders, manages peak‑hour call volumes, and integrates with restaurant point‑of‑sale (POS) systems. Our Services are designed to improve order accuracy, reduce staffing pressure, and enhance the customer ordering experience.

3. Eligibility

Our Services are intended for business users (e.g., restaurant owners and managers) located in jurisdictions where such services are lawful. By using the Services, you represent and warrant that you are at least 18 years of age and have the authority to enter into these Terms on behalf of the business you represent.

4. User Responsibilities

1. Account Registration: To use certain features of the Services, you may need to create an account. You agree to provide accurate and complete information and to keep your account credentials secure.
2. Compliance: You agree to use the Services in compliance with all applicable laws and regulations, including those relating to data protection, privacy, and telecommunication.
3. Content: You are responsible for any content or data you provide to the Service (such as menu items, POS information, or instructions for the AI agent). You grant Woqal a non‑exclusive, royalty‑free licence to use this content for the purpose of providing the Services.
4. Third‑Party Services: Our Services may integrate with third‑party POS systems and other services. Your use of those third‑party services is subject to their own terms and conditions. Woqal is not responsible for the acts or omissions of any third‑party provider.

5. Fees and Payment

Woqal may offer subscription plans or usage‑based pricing. You agree to pay all fees associated with your selected plan. Unless otherwise stated, fees are non‑refundable. We reserve the right to change pricing at any time with reasonable notice.

6. Intellectual Property

All content and materials provided through the Services, including software, logos, trademarks, and voice models, are owned by or licensed to Woqal and protected by intellectual property laws. You are granted a limited, non‑exclusive, non‑transferable licence to use the Services for your internal business purposes. You may not copy, modify, or distribute any part of the Services without our prior written consent.

7. Limitation of Liability

To the maximum extent permitted by law, Woqal and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to use the Services in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold Woqal and its officers, employees, and agents harmless from any claims, damages, or expenses arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we believe suspension is necessary to protect the integrity of our Services or other users. Upon termination, your right to use the Services will cease immediately, but sections of these Terms that by their nature should survive termination will remain in effect.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Woqal.ai is registered, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction.
